Terms of Service

1. Who we are
These terms govern your use of Close Ratio services, provided by Trond Eriksen Marketing (organisation number 931 854 178), a sole proprietorship registered in Norway at Kiplehaugen 45, 5179 Godvik.
By engaging our services or booking a demo call, you agree to these terms.
2. The service
Close Ratio provides done-for-you speed-to-lead automation for independent insurance agencies. This includes:
- Connecting to your existing lead sources (contact forms, ad platforms, CRM).
- Setting up automated SMS and phone outreach triggered by new inbound leads.
- Monitoring and maintaining the system on an ongoing basis.
The exact scope of work is agreed between us before setup begins. We will confirm compatibility with your lead sources before committing to a setup.
3. The free trial period
We offer a 30-day free setup period. During this time:
- We build and run the system at no cost to you.
- You owe nothing unless the system books you appointments from your existing lead flow.
- If no appointments are booked during the 30-day period, the engagement ends at no charge.
"Appointment" means a confirmed booking or scheduled call with a prospective client generated through the automated system. We will provide a summary of results at the end of the trial period.
4. Ongoing service and payment
If the trial period results in booked appointments, we will discuss continuing the service on a monthly retainer basis. The retainer amount will be agreed in writing before the trial period ends.
- Invoices are issued monthly in advance.
- Payment is due within 14 days of the invoice date.
- There are no long-term contracts. You may cancel with 30 days written notice.
- We may also cancel with 30 days written notice.
5. Your responsibilities
To allow us to deliver the service, you agree to:
- Provide timely access to the lead sources we need to connect to.
- Ensure you have the right to share any lead or contact data with us for the purpose of automated follow-up.
- Comply with applicable laws governing SMS and phone outreach in your jurisdiction (including but not limited to TCPA in the United States).
- Respond to booked appointments within a reasonable time.
You are responsible for ensuring that your lead generation and follow-up practices comply with US federal and state laws, including the Telephone Consumer Protection Act (TCPA). We will implement best practices on our end, but legal compliance in your market remains your responsibility.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including lead data, system configuration, and business performance figures. This obligation survives termination of the agreement.
7. Intellectual property
Any systems, automations, templates, or workflows we build remain the intellectual property of Trond Eriksen Marketing unless explicitly agreed otherwise in writing. You are granted a licence to use the system for the duration of the engagement.
8. Limitation of liability
We provide the service in good faith and with reasonable care. However:
- We cannot guarantee a specific number of appointments or revenue outcomes.
- We are not liable for indirect, consequential, or lost-profit damages.
- Our total liability to you in any 12-month period is limited to the fees paid to us during that period.
- We are not liable for disruptions caused by third-party platforms (e.g., changes to Calendly, Facebook Lead Ads, or carrier SMS policies).
9. The study data
The insurance agency response-time study referenced on this website was conducted by Trond Eriksen Marketing in February–April 2026 across 94 independent US agencies. While we believe the data to be accurate, it is provided for informational purposes only and does not constitute a warranty of results.
10. Governing law and disputes
These terms are governed by the laws of Norway. Any disputes that cannot be resolved between the parties directly will be referred to the courts of Bergen, Norway, as the venue of first instance.
We will always attempt to resolve disputes informally before initiating legal proceedings. Please contact us at info@closeratio.co in the first instance.
11. Changes to these terms
We may update these terms from time to time. Active clients will be notified by email at least 30 days before any material changes take effect. Continued use of the service after that date constitutes acceptance of the updated terms.
